Terms of Service

The MBADV Referral Program lets you introduce businesses to MBADV (operated by MBADV Sas di Matteo Braghetta & C, an Italian agency providing Google Ads management and tracking services) in exchange for a recurring commission on the revenue those businesses generate when they become MBADV customers.

By signing up as a referrer, you agree to these Terms and to our Privacy Policy.

Anyone can sign up as a referrer. Accounts are auto-approved on signup. You must be at least 18 years old and legally able to enter into a contract in your country of residence.

You must provide a valid email address and complete the onboarding profile (full name, country, payout currency, tax status, payout details) before submitting your first invite. We may suspend or terminate accounts that provide false information.

You introduce a prospect by submitting their details (name, business email, company, optional context) through your dashboard. We send an introduction email on your behalf, signed by MBADV, with you in BCC so you have a copy.

Consent warranty. By submitting an invite you confirm that the prospect has agreed to receive an introduction from MBADV. You are responsible for obtaining this consent before submitting their details. Submitting an invite without consent is a breach of these Terms and may result in account termination plus liability for any damages.

Each invite has a status timeline (Pending → In discussion → Won / Lost / Refused / Expired / Canceled / Bounced) visible in real time on your dashboard. We may cancel invites that violate these Terms or our anti-fraud rules below.

Invites automatically expire 90 days after submission if the prospect has not responded. Expired invites can be revived by MBADV admin on request.

When a prospect you referred becomes an MBADV customer and starts paying their monthly invoices, you earn a commission as follows:

• Rate. 15% of the commissionable line items on each paid invoice. The rate is flat for everyone; no tiers, no per-referrer negotiation.
• Commissionable revenue. Only line items on MBADV products tagged as commissionable (Google Ads management fee, tracking setup + maintenance). Ad spend that the customer pays directly to Google is not commissionable.
• Duration. 12 months from the customer's first paid non-zero invoice. Trial invoices and €0 invoices do not start the clock.
• Base. Net of VAT. When you invoice MBADV for the commission, you add your own VAT (if applicable to your tax status) on top.
• Billing model. Monthly subscriptions only. Annual upfront subscriptions are not in scope as of v1.
• Mid-cycle changes. Plan upgrades count from the upgrade invoice forward. Downgrades reduce the commission proportionally on the next invoice.
• Refunds / chargebacks. If MBADV refunds a paid invoice, the corresponding 15% is clawed back as a negative entry on your next monthly statement.
• Pause. If the customer pauses their subscription, no commission accrues during the pause. The 12-month clock keeps ticking.
• Cancel + return. If a customer cancels and later returns to MBADV, no further commission accrues on the second relationship.

Payouts are processed monthly. We close the previous month's commissions on the first weeks of the following month and pay out to the method configured in your profile.

• Currency. You choose USD or EUR in your profile. Conversion happens at the time of accrual, using the FX rate Stripe recorded on each underlying invoice.
• Minimum payout. €50 / $50 equivalent. If your monthly balance is below the minimum, it carries over to the next month and is paid when the running total clears the threshold.
• Method. We pay via PayPal, Stripe transfer, or bank transfer at MBADV's discretion. Manual in v1.
• Invoicing & tax. You are responsible for invoicing MBADV for the payout amount under your own tax regime and for paying any taxes owed in your jurisdiction. MBADV does not act as your tax agent. The monthly statement we send includes a VAT note based on the tax status you selected in your profile.

The following are prohibited and will result in invite rejection, commission forfeiture, and potentially account termination:

• Submitting your own email as a prospect (self-referral).
• Submitting an email on the same domain as your own (we treat this as self-referral).
• Submitting an email of an existing MBADV customer.
• Submitting an email that has previously unsubscribed.
• Submitting more than 10 invites per day or 50 per week (rate limit).
• Submitting fake, scraped, or non-consented contact details (breach of section 3 above).

You can close your account at any time by contacting account@mbadv.agency. Closing your account stops new invites; any deals already attributed to you continue to accrue commission per their 12-month window and we pay out accrued balances in full.

MBADV may suspend or terminate your account if you breach these Terms, with notice except in cases of clear fraud or abuse where we may act immediately. On termination for cause, accrued commissions remain payable unless the breach involved fraud, in which case we may withhold them.

MBADV may modify these Terms or the commission structure with at least 30 days' notice via the email address on your account. Changes apply prospectively to new invites and new deals; deals already attributed to you continue under the rules in force when the deal was won until their 12-month window ends.

We may discontinue the program with at least 60 days' notice; on discontinuation, accrued commissions remain payable per existing windows.

MBADV provides the program "as is". We do not guarantee any minimum number of conversions, commission level, or referrer activity. Beyond accrued and unpaid commissions, MBADV's liability under these Terms is limited to the total commissions paid to you in the preceding 12 months.

These Terms are governed by Italian law. Any dispute arising out of or relating to these Terms shall be resolved by the competent Italian court at MBADV's registered office. You retain any mandatory rights under your country's consumer law that cannot be waived by contract.
